Real Reel™ – Terms of Use

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS.

These Terms of Use (“Terms”) govern your access to and use of Real Reel™ and all related current and future products, services, and offerings, whether delivered digitally, physically, publicly, privately, directly, indirectly, or via third‑party platforms (collectively, the “Services”).

The Services include, without limitation: (a) websites, mobile‑optimized experiences, and applications; (b) newsletters, mailing lists, and email communications; (c) PDF reports, research publications, playbooks, whitepapers, and downloadable materials; (d) data products, datasets, analytics outputs, and research‑derived insights; (e) video and audio content, including livestreams, recordings, podcasts, clips, and embedded media; (f) virtual and in‑person events, panels, workshops, and related registrations and materials; (g) content distributed or made available through third‑party platforms, syndication partners, or embeds; and (h) any related features, tools, or services offered now or in the future.

The Services are operated by SHU Studio Inc. and its affiliates (“Real Reel,” “we,” “us,” or “our”). These Terms apply regardless of how the Services are accessed, used, or consumed. If you do not agree to these Terms, you must not access or use the Services.

1. Acceptance of Terms; Updates
By accessing or using any part of the Services, you agree to be bound by these Terms. We may revise these Terms at any time by posting an updated version. Changes are effective upon posting. Continued use after posting constitutes acceptance. You are responsible for reviewing the Terms periodically.

2. Editorial Nature; No Advice; No Endorsement
Real Reel is an independent editorial, research, and commentary publication. All content is provided solely for informational, journalistic, educational, and discussion purposes.

Nothing on the Services constitutes legal, financial, accounting, tax, investment, medical, or other professional advice. No content constitutes an offer, solicitation, endorsement, guarantee, certification, or recommendation of any strategy, transaction, security, platform, company, product, or service.

Any reliance on information obtained through the Services is solely at your own risk. You acknowledge that markets, platforms, regulations, and business conditions change rapidly and that content may become outdated.

3. Ownership; Intellectual Property Rights
All rights, title, and interest in and to the Services, including all content, text, images, graphics, audio, video, data, software, code, compilations, structure, selection, arrangement, and “look and feel,” are owned by Real Reel or its licensors and are protected by intellectual property laws.

No right, title, or interest is transferred to you except for the limited license expressly granted herein. Any unauthorized use may result in civil and criminal liability.

4. Limited License; Restrictions
You are granted a limited, revocable, non‑exclusive, non‑transferable license to access and use the Services solely for personal or internal business purposes.

You may not copy, reproduce, distribute, publicly display, republish, translate, modify, create derivative works from, sell, sublicense, or otherwise exploit any portion of the Services without prior written permission.

5. Subscriptions; Newsletters; Reports; Data Products
All newsletters, reports, research publications, and data products are licensed, not sold. Access is granted to the individual or entity authorized at the time of purchase or subscription.

You may not share, redistribute, upload, or make available such materials to any third party, including via shared drives, messaging platforms, repositories, or AI training systems. Unauthorized distribution constitutes a material breach of these Terms.

6. Accounts; Registration; Security
Certain Services may require registration. You are responsible for safeguarding credentials and all activity conducted under your account. We may suspend or terminate access for suspected misuse, automation, sharing, or security risk.

7. Prohibited Uses
You agree not to, and not to assist others to:
(a) scrape, crawl, spider, harvest, or data‑mine the Services;
(b) use bots, scripts, automation, or AI systems to access or extract content;
(c) train or develop machine learning or AI models using the Services;
(d) bypass access controls or technical protections;
(e) remove or alter attribution or notices;
(f) misrepresent source or affiliation;
(g) build competing products or services;
(h) engage in unlawful, defamatory, or infringing activity.

We reserve the right to deploy technical measures to detect and prevent prohibited uses.

8. Submissions; Feedback; Unsolicited Materials
Any materials you submit are non‑confidential and may be used by Real Reel without obligation. You grant a perpetual, worldwide, royalty‑free license to use such materials. Do not submit confidential or proprietary information.

9. Events; Recordings; Conduct
Events may be recorded. By attending, you consent to audio, video, and photographic recording and use. We reserve the right to remove participants or deny access for any reason.

10. Third‑Party Services
The Services may link to or be distributed through third‑party platforms. We are not responsible for third‑party content, policies, or practices.

11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, REAL REEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF USD $100 OR AMOUNTS PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification
You agree to indemnify and hold harmless Real Reel from any claims arising from your use of the Services or violation of these Terms.

14. Informal Dispute Resolution
Before initiating arbitration, you must send a written notice of dispute and allow sixty (60) days for informal resolution.

15. Binding Arbitration
Any dispute shall be resolved by binding arbitration administered by JAMS under the Federal Arbitration Act. Arbitration shall be conducted on an individual basis by a single arbitrator in Los Angeles County, California.

16. Class Action Waiver
You agree not to participate in any class, collective, representative, or private attorney general action.

17. Jury Trial Waiver
You waive any right to a jury trial.

18. Arbitration Opt‑Out
You may opt out of arbitration within thirty (30) days by written notice.

19. Termination
We may suspend or terminate access at any time.

20. Governing Law
These Terms are governed by California law.

21. Entire Agreement
These Terms constitute the entire agreement regarding use of the Services.

22. Purchases; Subscriptions; Trials; Billing; Delivery (Supplemental)
If Real Reel offers paid subscriptions, reports, data products, or other paid Services, you agree to provide accurate and complete billing information and authorize us or our payment processors to charge applicable fees.
Prices, billing cycles, renewal terms, and refund policies (if any) will be disclosed at the time of purchase and may be changed prospectively.
Trials may automatically convert to paid subscriptions unless canceled prior to the end of the trial period.
Delivery of digital products may occur via download, email, account access, or third-party platforms. Delivery timing is not guaranteed and may depend on external systems.

23. Promotions, Surveys, and Beta Features (Supplemental)
Real Reel may from time to time offer promotions, surveys, or beta features. Additional terms may apply and will be disclosed at the time of participation.
Beta features are provided on an “as is” and “as available” basis, may contain errors, and may be modified or discontinued at any time without notice.
Participation is voluntary and may be void where prohibited by law.

24. Copyright Complaints; DMCA Notice (Supplemental)
If you believe that content on the Services infringes your copyright, you may submit a notice identifying the copyrighted work, the allegedly infringing material, your contact information, and a statement under penalty of perjury that you are authorized to act.
Real Reel may remove or disable access to allegedly infringing material and may terminate repeat infringers in appropriate circumstances.

25. Third-Party Distribution, Syndication, and Embeds (Expanded)
Real Reel content may be distributed, syndicated, embedded, or otherwise made available through third-party platforms, partners, or services.
Real Reel does not control and is not responsible for the availability, accuracy, or continued functionality of third-party platforms.
Your use of third-party platforms is governed solely by their terms and policies, and Real Reel disclaims any responsibility arising from such use.

26. Service Availability; Modification; Discontinuation
Real Reel does not guarantee that the Services will be available at all times or without interruption.
We may modify, suspend, or discontinue any part of the Services, temporarily or permanently, with or without notice.

27. Enforcement; Cooperation with Authorities
Real Reel reserves the right to investigate suspected violations of these Terms and to take appropriate action, including suspension, termination, legal action, or cooperation with law enforcement authorities.
Nothing in these Terms limits Real Reel’s ability to seek any remedies available at law or in equity.

28. Relationship of the Parties (Supplemental)
Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, employment, or other special relationship between you and Real Reel.
You have no authority to bind Real Reel in any manner.

29. Assignment; Business Transfers (Supplemental)
You may not assign or transfer these Terms without our prior written consent.
Real Reel may assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, asset sale, financing, or other business transaction.

30. Survival
All provisions which by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law provisions.
